The IDBI Bank strategic sale: what happened?
IDBI Bank needed repeated capital, first from the Government and then from LIC. Once its health improved, the Centre decided to sell control. After four years of process and one failed round, the Cabinet committee has named the buyer.
- The Cabinet Committee on Economic Affairs on 14 October 2026 approved 10955230 Canada Inc. (parent: Fairfax Financial Holdings Ltd.) as Strategic Buyer of 60.72% of IDBI Bank for Rs. 52,878 crore.
- The stake is 30.48% from the Government and 30.24% from LIC; the Government keeps 15% and LIC 19%, and both will withdraw their Board nominees.
- The winning bid of Rs. 81 per share beat the Rs. 75.99 benchmark (average of two independent fair valuations). The Finance Ministry says it will be the largest FDI in the financial sector so far.
How did IDBI Bank get here?
- IDBI Bank is a scheduled commercial bank regulated by the RBI.
- On 5 May 2017 the RBI put it under the Prompt Corrective Action (PCA) framework because of bad loans and losses.
- The RBI lifted the PCA restrictions by its letter of 10 March 2021, subject to conditions and continuous monitoring.
- The CCEA then approved strategic restructuring: sale of 60.72% equity to a strategic buyer.
How was the sale run?
- Preliminary Information Memorandum inviting Expressions of Interest issued on 7 October 2022.
- Only parties found Fit and Proper by the RBI and cleared by the MHA could bid.
- Five parties sent EoIs; four qualified; two submitted techno-financial bids and became Qualified Bidders.
- Decisions moved through the Inter-Ministerial Group, the Core Group of Secretaries on Disinvestment and the Alternative Mechanism (an empowered group of Cabinet Ministers).
Which entry covers banking, and who must still clear the buyer?
- Seventh Schedule, List I Entry 45: “Banking.” Banking is a Union subject.
- The release says the buyer must present its credentials to the RBI under the Fit and Proper assessment done at the EoI stage and submit a roadmap for meeting the regulatory conditions.
Why was the bid of Rs. 81 accepted when the stock had traded higher?
| Price point | Rs. per share | What it was |
|---|---|---|
| Unimpacted pre-EoI price | 42.40 | Last trading day before the PIM/EoI of 7 Oct 2022 |
| Impacted market price | 108.12 | Last trading day before initial bids were invited, 8 Jan 2026 |
| Reserve price (2025-26 round) | 94.42 | Initial bids fell short; not approved |
| Bid discovered in first round | 75 | Market price later fell below this |
| Price before best-offer round | 70.38 | Last trading day before 18 May 2026 |
| Range in valuation period | 61.01 to 118.38 | Stock thinly traded and volatile, so disregarded |
| Benchmark (fair value average) | 75.99 | Average of Market Multiple and Asset Valuation results |
| Winning best offer | 81 | Above benchmark and both valuations; approved |
How was the fair value worked out?
Two methods, one benchmark
- Market price set aside as too volatile
- Valuer 1: Market Multiple Method on 31 March 2026 accounts of all PSBs
- Valuer 2: Asset Valuation Method on IDBI’s audited 31 March 2026 accounts, land and properties included
- Average of the two = Rs. 75.99 benchmark
- Best offer of Rs. 81 tested against it and approved
Why does the IDBI Bank strategic sale matter?
| Angle | What to note |
|---|---|
| Disinvestment | A bank under Government and LIC control moves to a strategic private owner. |
| External sector | The Finance Ministry calls it the largest FDI in India’s financial sector so far. |
| Banking | A private owner is expected to bring capital, technology and management, so the bank no longer leans on Government money. |
| Process | Sealed bids, independent valuers and a benchmark show how the Centre defends a price below a past market peak. |
| LIC | LIC exits control and keeps 19%, which it may manage under its own procedures. |
What are the challenges in the IDBI Bank strategic sale?
- The best offer of Rs. 81 is below the Rs. 94.42 reserve set in the first round; critics may question the price, which is why the release explains the valuation in detail.
- Only two bidders reached the final stage, so competition was thin.
- RBI conditions on the new owner (fit and proper, roadmap) must still be met before the deal closes.
- Residual 15% Government stake is to be sold in the open market; timing will affect what the exchequer finally gets.
What should be done next on the IDBI Bank strategic sale?
- Close RBI approvals quickly and publish the regulatory roadmap terms.
- Use the IDBI valuation method as a template for future bank sales.
- Sell the residual Government stake through the open market as per the SOP.
- Watch credit and deposit growth after privatisation to judge the outcome.
